Our Client, a multinational banking and financial services company headquartered in London, is looking for a Company Secretary with at least 7 years experience with a Board of a complex organization.
Your Skills and Qualifications will include

o Prior experience dealing with external directors
o Strong written and organizational skills

Key Accountabilities and Skills required:

o Key specific accountabilities.
o Provide senior-level governance assistance to the Americas Corporate Secretariat in managing legal entities in the Americas Region;
o Governance and management of Boards of Directors of US legal entities, including a regulated broker dealer and newly-formed US Intermediate Holding Company
o Stakeholder management and leadership.
o Coordinate and liaise with Group Corporate Secretariat in London to ensure that all internal governance policies are being met, including the updating of legal entity database (Blueprint);
o Provide corporate entity information, corporate documents, including Secretaries Certificates, and corporate secretarial support to Legal and business units;
o Oversee delegation of signing authority process
o Decision making and problem solving.
o Board and Committee meeting planning and documentation: agendas, board materials, Board and Committee minutes, resolutions and written consents in lieu of meetings; agenda planning, meeting logistics;
o Director-related activities: Manage Director induction and onboarding processes, Director conflicts of interest and other Director compliance or governance matters;
o Organizational activities: Assist Americas Secretariat with establishing and embedding internal protocols and processes to ensure the smooth functioning of the Corporate Secretariat department;
o Assist with overall legal entity governance processes to ensure that legal entities are appropriately managed in accordance with their governance documents, policy, applicable law and consistent with best practice;
o Oversee the preparation and filing of annual and other reports required for state registrations, liaising with tax and finance;
o Oversee updating and maintenance of Legal Entity Database for US entities (Blueprint)
o Coordinate with UK-based corporate secretarial contacts as needed
